1. Introduction

These Terms of Service ("Terms") govern your use of the verityventure.com website and any services provided by Verity Ventures ("Verity Ventures," "we," "us," or "our"), including website design and development, AI chatbot setup, and Voice AI services. By using our website, submitting a contact form, or engaging us for services, you agree to these Terms.

Verity Ventures is based in Gaborone, Botswana, and these Terms are governed by the laws of the Republic of Botswana.

2. Our services

Verity Ventures provides:

Custom website design and development, built on the GoHighLevel platform

AI chatbot setup and training for websites, WhatsApp, Facebook Messenger, and Instagram

Voice AI phone assistant setup and configuration

Related monthly hosting, maintenance, and support services

The specific scope, deliverables, timelines, and pricing for any project are set out in the package you select or a written quote/proposal agreed between you and Verity Ventures. Where anything in a written quote conflicts with these Terms, the written quote takes priority for that project.

3. Quotes, pricing, and payment

Prices listed on our website (in Botswana Pula, BWP) are current at the time of publishing and may change without notice for future projects.

A project is confirmed once you accept a quote and, where required, pay the agreed deposit or setup fee.

Setup fees are generally due before work begins. Monthly hosting and maintenance fees are billed on a recurring basis as agreed at the start of your project.

Late or missed payments may result in suspension of services, including taking a website, chatbot, or Voice AI assistant offline, until outstanding amounts are settled.

Unless otherwise agreed in writing, setup fees are non-refundable once work has commenced, given the time and resources committed to your project.

4. Timelines

Delivery timelines quoted on our website or in a proposal (e.g., "3–5 business days," "7–14 days") are estimates based on receiving complete content, information, and approvals from you in a timely manner. Delays in providing content, feedback, or approvals may extend these timelines. We are not liable for delays caused by factors outside our reasonable control, including delays by third-party platforms (such as GoHighLevel), payment processors, or communication providers.

5. Your responsibilities

To deliver your project, we rely on you to:

Provide accurate, complete, and lawful business information, content, logos, and images

Respond to requests for feedback, approvals, and revisions within a reasonable time

Ensure you have the rights to use any content, images, trademarks, or materials you provide us

Keep your account credentials (for your website, CRM, or chatbot dashboard) secure

You are responsible for the accuracy of information provided to your AI chatbot or Voice AI assistant for training purposes, and for reviewing and approving its responses before it goes live on "Auto-Pilot" or equivalent automated mode.

6. Revisions

Each package includes a defined number of revision rounds, as set out on our Packages page or your quote. Additional revisions beyond what's included may be billed separately at a rate agreed with you in advance.

7. Ownership and intellectual property

You own the content you provide us (text, logos, images, business information).

Upon full payment of the applicable setup fee, you own the final website, chatbot configuration, and Voice AI configuration built for your business.

The underlying software, platform, templates, and any proprietary tools, scripts, or frameworks Verity Ventures uses to build and maintain your project remain the property of Verity Ventures and/or its platform providers (including GoHighLevel).

Your website, chatbot, and related services are hosted on GoHighLevel. Continued access to your website, chatbot, and CRM data depends on an active hosting/maintenance subscription, either with Verity Ventures or directly with GoHighLevel, as applicable to your package.

We may, with your permission, showcase your project (name, screenshots, or a brief case study) in our own portfolio and marketing materials, unless you request otherwise in writing.

8. AI chatbot and Voice AI limitations

Our AI chatbot and Voice AI services use artificial intelligence to generate automated responses based on the information provided during setup. While we train these systems to be accurate and helpful, you acknowledge that:

AI-generated responses may occasionally be incomplete, inaccurate, or fail to fully understand a customer's question

You are responsible for reviewing chatbot/Voice AI configurations and monitoring conversations, particularly regarding pricing, availability, medical, legal, financial, or safety-related information

Verity Ventures is not liable for business decisions, losses, or disputes arising from a customer's reliance on an AI-generated response, except where caused by our gross negligence or wilful default

We recommend keeping a human handover option enabled for enquiries the AI cannot confidently answer

9. Hosting, uptime, and third-party platforms

Our services are built on GoHighLevel. While we take reasonable steps to ensure your website, chatbot, and Voice AI function reliably, we do not guarantee uninterrupted uptime, as this depends in part on GoHighLevel's platform availability and other third-party services (e.g., WhatsApp Business API, telephony providers, internet service providers). We are not liable for outages or issues caused by these third parties.

10. Cancellation and termination

You may cancel ongoing monthly hosting/maintenance services by providing at least 30 days' written notice, unless a different notice period is agreed in your package.

We may suspend or terminate services if payments are overdue, if you use our services for unlawful purposes, or if you breach these Terms.

Upon cancellation, you may request an export of your content, subject to any applicable fees and the limitations of the GoHighLevel platform. We are not obligated to continue hosting your website, chatbot, or data on GoHighLevel once your subscription ends.

11. Limitation of liability

To the maximum extent permitted under Botswana law:

Verity Ventures' total liability for any claim arising from our services is limited to the amount you paid us for the specific service giving rise to the claim in the 3 months preceding the claim.

We are not liable for indirect, incidental, or consequential losses, including loss of profits, loss of business, or loss of data, except where such exclusion is not permitted by law.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence, or any liability that cannot be excluded under Botswana law.

12. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of a project, and to use it only for the purpose of delivering or receiving the agreed services.

13. Communication consent

By submitting our contact form or otherwise providing your phone number, you consent to receive service-related messages from Verity Ventures. Marketing messages will only be sent if you separately opt in. You may withdraw consent at any time by replying STOP to a text message or contacting us directly — see our Privacy Policy for full details.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Botswana. Any dispute arising from these Terms or our services will first be addressed through good-faith negotiation between the parties. If unresolved, disputes will be subject to the jurisdiction of the courts of Botswana.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms. Material changes affecting active client projects will be communicated directly.
